Business Name or Limited Company: What Is the Difference?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">This is one of the most important decisions for a new entrepreneur.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Business Name<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A registered business name is often used by an individual proprietor or a business operating under a trading name.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It can be appropriate where the entrepreneur wants a relatively simple structure for a small business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, registering a business name <strong>does not create a separate company that automatically shields the proprietor from personal liability<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">KRA also confirms that a sole proprietorship uses the proprietor&#8217;s individual PIN for transactions.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Private Limited Company<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A private company is a separate corporate structure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Companies Act allows one or more persons to form a company, and a private company may have a single member. What Is a Private Limited Company in Kenya?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">A private company is a company whose constitution restricts the transfer of shares, limits its membership to the statutory limit and prohibits invitations to the public to subscribe for its shares or debentures.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For many Kenyan entrepreneurs, the private limited company is the practical choice when they intend to build a serious commercial enterprise.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It can be appropriate for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>technology companies;<\/li>\n\n\n\n<li>consultancies;<\/li>\n\n\n\n<li>professional businesses;<\/li>\n\n\n\n<li>retail companies;<\/li>\n\n\n\n<li>construction businesses;<\/li>\n\n\n\n<li>real estate companies;<\/li>\n\n\n\n<li>manufacturing businesses;<\/li>\n\n\n\n<li>agencies;<\/li>\n\n\n\n<li>e-commerce businesses;<\/li>\n\n\n\n<li>family businesses; and<\/li>\n\n\n\n<li>businesses intending to attract investors.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The important point is that <strong>incorporation should follow a considered ownership and governance plan<\/strong>, rather than being treated as a purely administrative exercise.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">5. Can One Person Register a Company in Kenya?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Yes.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Kenyan company law permits a company to be formed by one person. How to Register a Company in Kenya<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">The company-registration process is now handled online through the BRS\/eCitizen system.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">BRS states that name reservation and business registration have been merged into one online process. Applicants submit their preferred names together with the registration application.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A typical private-company formation process involves the following stages.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Step 1: Decide on the Business Structure<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Before completing the application, determine whether you need:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>a business name;<\/li>\n\n\n\n<li>private limited company;<\/li>\n\n\n\n<li>LLP;<\/li>\n\n\n\n<li>limited partnership;<\/li>\n\n\n\n<li>company limited by guarantee; or<\/li>\n\n\n\n<li>another structure.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Do not choose the structure solely because it is the cheapest or fastest option.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Consider what the business will look like <strong>three to five years from now<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">Step 2: Choose a Business or Company Name<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Your proposed name must satisfy the applicable registration requirements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">BRS states that a company name should not be the same as or similar to an existing registered name or trademark. Certain words and expressions are also restricted.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is why entrepreneurs should consider <strong>both company-name availability and intellectual-property protection<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Registering a company name does not automatically mean that you own the corresponding trademark.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For a brand intended to become valuable, a trademark search and intellectual-property strategy should therefore be considered early.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">7. Prepare the Company&#8217;s Ownership Structure<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Before incorporation, founders should decide who owns the business and in what proportions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Founder A \u2014 60%<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Founder B \u2014 40%<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But percentage ownership is only part of the question.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Founders should also consider:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>who will be directors;<\/li>\n\n\n\n<li>who can sign contracts;<\/li>\n\n\n\n<li>who controls the bank account;<\/li>\n\n\n\n<li>how additional shares will be issued;<\/li>\n\n\n\n<li>what happens when one founder leaves;<\/li>\n\n\n\n<li>whether shares can be transferred;<\/li>\n\n\n\n<li>how disputes will be resolved;<\/li>\n\n\n\n<li>what happens if a founder dies;<\/li>\n\n\n\n<li>whether investors may join later; and<\/li>\n\n\n\n<li>how intellectual property belongs to the company.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">For businesses with multiple founders, a properly drafted <strong>shareholders&#8217; agreement<\/strong> can be extremely valuable.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">8. Prepare the Company Registration Information<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">The Companies Act requires information concerning matters such as the proposed company name, registered office, liability structure and whether the company is private or public. The registration application also includes information concerning capital, initial shareholding, proposed officers and beneficial ownership.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">BRS lists the relevant company forms, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>CR1<\/strong> \u2014 application to register a company;<\/li>\n\n\n\n<li><strong>CR2<\/strong> \u2014 model memorandum for a company with share capital;<\/li>\n\n\n\n<li><strong>CR6<\/strong> \u2014 appointment of directors;<\/li>\n\n\n\n<li><strong>CR8<\/strong> \u2014 directors&#8217; residential addresses;<\/li>\n\n\n\n<li><strong>CR10<\/strong> \u2014 appointment of a company secretary where applicable; and<\/li>\n\n\n\n<li>other forms dealing with subsequent company changes.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The exact documents and information required can depend on the entity being registered.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">9. Submit the Application Through eCitizen<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">BRS states that company registration processes are conducted online through eCitizen and that electronic payment methods are available.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The current BRS fee schedule lists, among others:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Business name registration \u2014 KSh 950<\/strong><\/li>\n\n\n\n<li><strong>Private limited company registration \u2014 KSh 10,650<\/strong><\/li>\n\n\n\n<li><strong>LLP registration \u2014 KSh 25,000<\/strong><\/li>\n\n\n\n<li><strong>Public limited company registration \u2014 KSh 10,650<\/strong><\/li>\n\n\n\n<li><strong>Foreign company \u2014 KSh 7,550<\/strong><\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">BRS lists a stated processing period of approximately <strong>1 day for business-name registration and 3\u20135 days for private\/public company and foreign-company registration<\/strong>, while LLP registration is listed at 1 day.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Important:<\/strong> Government fees and processing times can change. Applicants should confirm the amount displayed on the official registration portal before payment.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">10. Obtain the Certificate of Incorporation<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Once the application is approved, the company receives its certificate of incorporation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The certificate is important evidence that the company has been incorporated.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, incorporation does <strong>not<\/strong> automatically give the business permission to conduct every type of commercial activity.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A company may still need:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>tax registration;<\/li>\n\n\n\n<li>county permits;<\/li>\n\n\n\n<li>professional licences;<\/li>\n\n\n\n<li>sector-specific approvals;<\/li>\n\n\n\n<li>environmental approvals;<\/li>\n\n\n\n<li>employment registrations;<\/li>\n\n\n\n<li>data-protection compliance; or<\/li>\n\n\n\n<li>other regulatory approvals.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">This distinction is critical.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Company registration and business licensing are not the same thing.<\/strong><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">11. Register for a KRA PIN and Tax Obligations<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">After formation, the business should address its tax obligations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">KRA provides online PIN registration for companies and partnerships through iTax. The process includes entering company information, selecting relevant tax obligations and providing director or partner information.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Depending on the business, tax obligations may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>corporation income tax;<\/li>\n\n\n\n<li>VAT;<\/li>\n\n\n\n<li>PAYE where the business employs staff;<\/li>\n\n\n\n<li>withholding tax;<\/li>\n\n\n\n<li>other applicable tax obligations.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">KRA states that VAT registration applies where a person supplies or expects to supply taxable goods or services at or above the statutory threshold, currently stated by KRA as <strong>KSh 5 million in annual taxable supplies<\/strong>, while voluntary registration may also be available.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Tax obligations should therefore be assessed according to the actual business model rather than selected mechanically during registration.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">12. Beneficial Ownership Is Part of Company Compliance<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Modern company formation in Kenya also requires attention to <strong>beneficial ownership information<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A beneficial owner is generally the natural person who ultimately owns or controls the company.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The regulations identify criteria including significant shareholding, voting rights, rights relating to directors and significant influence or control.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Companies must maintain beneficial ownership information and comply with the applicable filing requirements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is not simply paperwork.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Beneficial ownership information forms part of Kenya&#8217;s corporate transparency and anti-money-laundering framework.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">BRS also provides guidance and services for declaring and updating beneficial ownership information.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">13.
