A company may receive a contract by email, review it online, sign it through an electronic-signature platform and store the final version in a cloud-based system.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This creates efficiency.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It also creates legal and cybersecurity risks.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An electronic contract is not simply a digital version of a paper contract. It exists within a wider technology environment involving <strong>identity verification, authentication, access controls, electronic signatures, email accounts, cloud storage, audit trails, personal data and cybersecurity systems<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A company therefore needs to ask two separate but connected questions:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>Is the electronic contract legally valid?<\/strong><\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">and<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>Can the company prove that the electronic contract is authentic, secure and unchanged?<\/strong><\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">Kenyan law recognizes electronic transactions and advanced electronic signatures. The Kenya Information and Communications Act (KICA) provides a framework for electronic records, electronic transactions and electronic signatures, while the Evidence Act contains specific provisions concerning electronic agreements, secure electronic records and electronic signatures.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">At the same time, companies that process personal information through electronic contracting systems must consider their obligations under the <strong>Data Protection Act, 2019<\/strong>, while cybersecurity incidents may also fall within the <strong>Computer Misuse and Cybercrimes Act<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This article examines how Kenyan companies can build a safer electronic contracting process.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">What Is Electronic Contracting?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Electronic contracting is the process of negotiating, creating, executing, exchanging, storing and managing contracts through electronic systems.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It can include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>contracts signed through electronic-signature platforms;<\/li>\n\n\n\n<li>agreements exchanged by email;<\/li>\n\n\n\n<li>online terms and conditions;<\/li>\n\n\n\n<li>click-to-accept agreements;<\/li>\n\n\n\n<li>electronic employment contracts;<\/li>\n\n\n\n<li>supplier agreements;<\/li>\n\n\n\n<li>software licences;<\/li>\n\n\n\n<li>digital service agreements;<\/li>\n\n\n\n<li>electronic purchase orders;<\/li>\n\n\n\n<li>online subscription agreements;<\/li>\n\n\n\n<li>electronic non-disclosure agreements;<\/li>\n\n\n\n<li>contracts executed through corporate portals; and<\/li>\n\n\n\n<li>automated transactions between computer systems.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Kenyan law recognizes the use of electronic messages in contract formation. KICA provides that an offer and acceptance may be expressed through electronic messages and that a contract cannot be denied validity or enforceability merely because an electronic message was used in its formation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, <strong>legal recognition does not eliminate cybersecurity risks<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A contract can be legally valid while the company still faces a dispute about:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>who signed it;<\/li>\n\n\n\n<li>whether the signatory was authorised;<\/li>\n\n\n\n<li>whether the document was altered;<\/li>\n\n\n\n<li>whether an email account was compromised;<\/li>\n\n\n\n<li>whether a signature credential was stolen;<\/li>\n\n\n\n<li>whether an employee exceeded their authority;<\/li>\n\n\n\n<li>whether the electronic record was properly preserved; or<\/li>\n\n\n\n<li>whether confidential personal or commercial information was exposed.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">That is where cybersecurity becomes part of contract risk management.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">Why Cybersecurity Matters to Electronic Contracts<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Consider a simple transaction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A Kenyan company sends a supplier a KSh 20 million supply agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The supplier receives the agreement by email and signs it electronically.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The signed document is returned to the company&#8217;s finance department.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Several weeks later, the company discovers that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the supplier&#8217;s email account had been compromised;<\/li>\n\n\n\n<li>the bank-account details in an attachment had been changed;<\/li>\n\n\n\n<li>someone had accessed the electronic signature account;<\/li>\n\n\n\n<li>the signed contract was stored in an unsecured cloud folder; and<\/li>\n\n\n\n<li>confidential company information had been downloaded.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The problem is no longer simply contractual.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It may involve:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>contract law + electronic evidence + cybersecurity + data protection + fraud + corporate authority.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is why electronic-contracting systems should be designed with security from the beginning.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">The Legal Framework for Secure Electronic Contracting in Kenya<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Several laws can become relevant to electronic contracting.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">1. Kenya Information and Communications Act<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">KICA establishes the statutory framework for electronic transactions and electronic signatures.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Among other things, it addresses:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>electronic records;<\/li>\n\n\n\n<li>electronic communications;<\/li>\n\n\n\n<li>electronic contracts;<\/li>\n\n\n\n<li>attribution of electronic messages;<\/li>\n\n\n\n<li>acknowledgement;<\/li>\n\n\n\n<li>secure electronic records;<\/li>\n\n\n\n<li>advanced electronic signatures; and<\/li>\n\n\n\n<li>electronic authentication.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">KICA also gives the Communications Authority functions relating to electronic transactions and cybersecurity, including promoting reliable electronic records and confidence in electronic transactions.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h2 class=\"wp-block-heading\">2. Evidence Act<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Evidence Act is particularly important when an electronic contract becomes disputed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 106F provides a statutory presumption concerning an electronic record purporting to be an agreement containing the electronic signatures of the parties.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 106G addresses secure electronic records and secure electronic signatures and establishes presumptions concerning integrity and intention, subject to the statutory conditions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This means that cybersecurity controls can have consequences beyond preventing attacks.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They can also affect <strong>the evidential strength of the company&#8217;s electronic records<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h2 class=\"wp-block-heading\">3. Data Protection Act, 2019<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Electronic contracts frequently contain personal data.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A contract may contain:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>names;<\/li>\n\n\n\n<li>identification information;<\/li>\n\n\n\n<li>telephone numbers;<\/li>\n\n\n\n<li>email addresses;<\/li>\n\n\n\n<li>residential addresses;<\/li>\n\n\n\n<li>employee information;<\/li>\n\n\n\n<li>financial information;<\/li>\n\n\n\n<li>signatures;<\/li>\n\n\n\n<li>photographs;<\/li>\n\n\n\n<li>bank information; and<\/li>\n\n\n\n<li>other personal information.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The Data Protection Act requires appropriate technical and organisational measures to protect personal data.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The statutory framework specifically contemplates measures such as pseudonymisation, encryption, restoring availability following technical incidents and regularly verifying and updating safeguards.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h2 class=\"wp-block-heading\">4. Computer Misuse and Cybercrimes Act<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Computer Misuse and Cybercrimes Act establishes offences relating to computer systems and cybercrime.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It addresses conduct including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>unauthorised access;<\/li>\n\n\n\n<li>identity theft and impersonation;<\/li>\n\n\n\n<li>phishing;<\/li>\n\n\n\n<li>interference with computer systems;<\/li>\n\n\n\n<li>unauthorised access to data; and<\/li>\n\n\n\n<li>other cyber-related offences.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The Act also contains provisions concerning reporting of certain cyber threats and attacks.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Act was amended in 2025, so companies should avoid relying on outdated cybersecurity policies or old summaries of the legislation.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">Electronic Signatures Need Security Controls<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">An electronic signature is only useful as a contractual security mechanism if the company can reasonably establish:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Who signed?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>What did they sign?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>When did they sign?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Were they authorised?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Was the document altered afterwards?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Can the signature be authenticated?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">KICA provides specific requirements for an <strong>advanced electronic signature<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 83O provides that where a law requires a signature, an advanced electronic signature can satisfy the requirement where it is sufficiently reliable for the relevant purpose and circumstances.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The statutory reliability requirements include linkage to the signatory, control of the signature-creation data by the signatory and the ability to detect alterations to the signature or, where relevant, the signed information.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Therefore, companies should not treat every image of a handwritten signature pasted into a PDF as equivalent to a properly controlled electronic-signature process.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">What Can Go Wrong With Electronic Signatures?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Cybercriminals do not necessarily need to attack the contract itself.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They may attack the <strong>person or system used to execute it<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Compromised email account<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">An attacker gains access to a director&#8217;s email account and intercepts a contract.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Stolen credentials<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">An employee&#8217;s electronic-signature credentials are compromised.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Phishing<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A director receives a convincing message asking them to authenticate a contract or update payment information.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Business email compromise<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A criminal impersonates a director, lawyer or supplier and instructs the company to change contractual payment details.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Unauthorised employee access<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">An employee accesses agreements outside their role or shares confidential contracts with an unauthorised third party.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Document substitution<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A legitimate contract is replaced with a modified version before execution.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Cloud-storage exposure<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A folder containing executed contracts is accidentally configured for public or unrestricted access.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These scenarios demonstrate an important principle:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>Contract security depends on the entire contracting environment, not only the signature itself.<\/strong><\/p>\n<\/blockquote>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">Protecting the Contract Before It Is Signed<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Cybersecurity should begin before the electronic signature is applied.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Verify the parties<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Companies should establish who they are contracting with.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For corporate transactions, this may involve confirming:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>registered company details;<\/li>\n\n\n\n<li>directors or authorised representatives;<\/li>\n\n\n\n<li>official email addresses;<\/li>\n\n\n\n<li>physical and registered addresses;<\/li>\n\n\n\n<li>authority to contract;<\/li>\n\n\n\n<li>bank details;<\/li>\n\n\n\n<li>relevant licences or registrations; and<\/li>\n\n\n\n<li>beneficial ownership information where appropriate.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">A sophisticated electronic-signature platform cannot compensate for contracting with the wrong person.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">Verify Signatory Authority<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">One of the most important controls is confirming that the person signing has authority to bind the company.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A company should establish:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>who can sign;<\/li>\n\n\n\n<li>whether one or two signatures are required;<\/li>\n\n\n\n<li>whether board approval is required;<\/li>\n\n\n\n<li>whether shareholder approval is required;<\/li>\n\n\n\n<li>whether a power of attorney exists;<\/li>\n\n\n\n<li>whether the signatory is acting under delegated authority; and<\/li>\n\n\n\n<li>whether internal approval procedures have been followed.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The electronic signature proves something about the signing event.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It does not automatically resolve every question concerning <strong>corporate authority<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">Use Multi-Factor Authentication<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Electronic-signature platforms and contract-management systems should use strong authentication.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Where appropriate, companies should implement:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>passwords;<\/li>\n\n\n\n<li>multi-factor authentication;<\/li>\n\n\n\n<li>hardware security keys;<\/li>\n\n\n\n<li>biometric authentication;<\/li>\n\n\n\n<li>device controls;<\/li>\n\n\n\n<li>administrator restrictions; and<\/li>\n\n\n\n<li>login monitoring.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">This is particularly important for senior executives, finance teams, legal departments and administrators who can approve or execute high-value agreements.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">Control Access to Contracts<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Not every employee should have access to every contract.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A company should implement <strong>role-based access controls<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example:<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><thead><tr><th>Role<\/th><th>Appropriate Access<\/th><\/tr><\/thead><tbody><tr><td>Legal team<\/td><td>Contract their role.<\/strong><\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">This reduces the impact of compromised accounts and insider misuse.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">Protect Contract Data in Transit and at Rest<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Electronic contracts can exist in multiple locations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Email \u2192 signing platform \u2192 cloud storage \u2192 document-management system \u2192 backup \u2192 archive<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Every additional location can create another security risk.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Companies should therefore consider encryption:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Encryption in transit<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Protects information as it moves between systems.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Encryption at rest<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Protects information while stored in databases, servers, laptops or cloud environments.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Data Protection Act specifically contemplates encryption and other appropriate technical and organisational safeguards when protecting personal data.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\">\n\n\n\n<h1 class=\"wp-block-heading\">Maintain an Electronic Contract Audit Trail<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">An audit trail can become extremely valuable during a contractual dispute.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For important agreements, companies should preserve information showing:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>when the contract was created;<\/li>\n\n\n\n<li>who uploaded it;<\/li>\n\n\n\n<li>who received it;<\/li>\n\n\n\n<li>when it was opened;<\/li>\n\n\n\n<li>who signed it;<\/li>\n\n\n\n<li>when it was signed;<\/li>\n\n\n\n<li>authentication methods used;<\/li>\n\n\n\n<li>the version that was signed;<\/li>\n\n\n\n<li>subsequent changes;<\/li>\n\n\n\n<li>approvals;<\/li>\n\n\n\n<li>communications relating to execution; and<\/li>\n\n\n\n<li>where the final document is
