A company can onboard an employee electronically. A software provider can accept a subscription agreement online. Two businesses can negotiate through email, sign a PDF electronically and complete a transaction without ever meeting physically.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This convenience raises an important legal question:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>Are electronic contracts legally binding in Kenya?<\/strong><\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">Generally, <strong>yes<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Kenyan law recognises electronic contracting and electronic signatures. Under section 83J of the <strong>Kenya Information and Communications Act (KICA)<\/strong>, an offer and acceptance may be expressed through electronic messages, and a contract cannot be denied validity or enforceability merely because an electronic message was used to form it. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/1998\/2\/eng%402018-05-30\/source?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But there is an important qualification.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The fact that a contract is electronic does not automatically mean that every electronic agreement satisfies every legal requirement applicable to that transaction.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That distinction is particularly important for businesses dealing with land, regulated transactions, corporate authority, witnessing requirements and other transactions where specific statutory formalities apply.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\">What Is an Electronic Contract?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">An electronic contract, commonly called an <strong>e-contract<\/strong>, is an agreement that is negotiated, formed, accepted, signed, communicated or stored electronically.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It can take several forms.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A contract signed through an electronic-signature platform.<\/li>\n\n\n\n<li>A supplier agreement accepted electronically.<\/li>\n\n\n\n<li>An employment agreement signed digitally.<\/li>\n\n\n\n<li>Terms and conditions accepted through a website.<\/li>\n\n\n\n<li>A software licence accepted online.<\/li>\n\n\n\n<li>A service agreement concluded through an electronic platform.<\/li>\n\n\n\n<li>A business agreement exchanged and accepted through email.<\/li>\n\n\n\n<li>A contract executed using an electronic signature.<\/li>\n\n\n\n<li>An online purchase agreement.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The important point is that the electronic format does not, by itself, invalidate the agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">What still matters is whether the underlying requirements for forming a valid contract have been satisfied.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">Is an Electronic Contract Legally Binding in Kenya?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Generally, yes.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 83J of KICA specifically recognises electronic messages in the formation of contracts.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 83K also provides that a declaration of intent or other statement cannot be denied legal effect, validity or enforceability merely because it is contained in an electronic message. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/1998\/2\/eng%402018-05-30\/source?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This means that businesses should not assume that a contract becomes unenforceable simply because the parties negotiated and concluded it electronically.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, an email or digitally signed document does not automatically answer every contractual question.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A dispute may still involve questions such as:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Was there a valid offer?<\/li>\n\n\n\n<li>Was the offer accepted?<\/li>\n\n\n\n<li>Were the terms sufficiently certain?<\/li>\n\n\n\n<li>Did the parties intend to create legal relations?<\/li>\n\n\n\n<li>Was there consideration where required?<\/li>\n\n\n\n<li>Did the parties have capacity to contract?<\/li>\n\n\n\n<li>Was consent freely given?<\/li>\n\n\n\n<li>Did the person signing have authority?<\/li>\n\n\n\n<li>Was the appropriate electronic-signature method used?<\/li>\n\n\n\n<li>Were any statutory formalities satisfied?<\/li>\n\n\n\n<li>Can the parties prove what was agreed?<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Electronic contracting changes the method of contracting. It does not remove the ordinary principles of contract law.<\/strong><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">What Is an Electronic Signature?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">An electronic signature is not necessarily a scanned image of someone&#8217;s handwritten signature.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">KICA defines an electronic signature as electronic data attached to or logically associated with other electronic data that can be used to identify the signatory and indicate approval of the information contained in the electronic record. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/1998\/2\/eng%402018-05-30?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The law also recognises an <strong>advanced electronic signature<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Among other requirements, an advanced electronic signature must be uniquely linked to the signatory, capable of identifying the signatory, created using means under the signatory&#8217;s sole control, and linked to the relevant data in a way that makes subsequent changes detectable. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/1998\/2\/eng%402018-05-30?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This distinction matters when determining whether a particular electronic-signature process satisfies a statutory signature requirement.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">Can an Electronic Signature Satisfy a Legal Signature Requirement?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">In appropriate circumstances, yes.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 83O of KICA provides that where the law requires a signature, the requirement may be satisfied by an advanced electronic signature that is sufficiently reliable for the purpose, considering the circumstances and any agreement between the parties. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/1998\/2\/eng%402018-05-30?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The legislation also provides for legal recognition of electronic signatures where legislation requires information or a document to be authenticated by signature. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/1998\/2\/eng%402018-05-30?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But this should not be interpreted as:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>&#8220;Everything can now be signed electronically in exactly the same way.&#8221;<\/strong><\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">Certain transactions have additional requirements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is where businesses need to distinguish between <strong>electronic contracting generally<\/strong> and <strong>electronic execution of a particular type of legal transaction<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">What Happens When the Contract Involves Land?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">This is one of the areas where extra caution is required.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Law of Contract Act imposes specific requirements for contracts for the disposition of an interest in land. Section 3(3) requires the contract to be in writing and signed by all parties, with each party&#8217;s signature attested by a witness who is present when the party signs.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The question of electronic execution therefore has to be considered alongside the specific statutory requirements applying to land transactions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is particularly important because KICA itself does <strong>not<\/strong> apply its electronic-transactions provisions indiscriminately to every type of document. Its electronic-transactions framework excludes certain matters, including wills, negotiable instruments and documents of title. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/1998\/2\/eng%402009-01-02\/source?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Land transactions may also involve requirements under the <strong>Land Registration Act<\/strong>, including provisions concerning electronically processed and executed instruments. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/2012\/3\/~part_VI__sec_64?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For a property transaction, therefore, simply attaching an electronic signature to a PDF should not be treated as a substitute for legal due diligence.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">Are Emails Legally Relevant to a Contract?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Yes.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An email can form part of the electronic record of a transaction and may contain an offer, acceptance, negotiation, instruction or other communication relevant to the contractual relationship.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But an email should not automatically be treated as a completed contract merely because it contains words such as:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">&#8220;Agreed.&#8221;<\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">The surrounding circumstances matter.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A court may need to consider the communications exchanged, the parties&#8217; conduct, the authority of the people involved, the terms being discussed and whether the parties intended to become legally bound.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">KICA also contains provisions dealing with attribution of electronic messages, including circumstances where a message is sent by the originator, an authorised person or an information system operating on the originator&#8217;s behalf. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/1998\/2\/eng%402018-05-30\/source?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This makes <strong>contracting authority and authentication<\/strong> particularly important for companies.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">Can a Company Be Bound by an Electronic Contract Signed by an Employee?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Potentially, yes\u2014but the question of authority matters.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A company may have several employees negotiating contracts, but not every employee necessarily has authority to bind the company to every transaction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Businesses should therefore have clear internal controls governing:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Who may negotiate contracts.<\/li>\n\n\n\n<li>Who may approve contracts.<\/li>\n\n\n\n<li>Who may sign on behalf of the company.<\/li>\n\n\n\n<li>Which electronic-signature platform is authorised.<\/li>\n\n\n\n<li>How signing credentials are protected.<\/li>\n\n\n\n<li>How executed contracts are stored.<\/li>\n\n\n\n<li>How changes to contracts are recorded.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">This becomes even more important when contracts are signed remotely.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A dispute may ultimately turn not on whether an electronic signature exists, but <strong>who authorised the transaction and whether the person who signed had authority to bind the organisation<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">What If Someone Claims They Did Not Sign the Electronic Contract?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">This is where evidence becomes important.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Kenya&#8217;s <strong>Evidence Act<\/strong> contains specific provisions dealing with electronic records and electronic signatures.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Section 106F provides for a presumption concerning electronic agreements containing the electronic signatures of the parties. Section 106G also provides presumptions concerning secure electronic records and secure electronic signatures, subject to the statutory conditions. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/1963\/46\/eng%402023-12-11?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, the evidentiary position should not be reduced to:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">&#8220;It has an electronic signature, therefore the dispute is over.&#8221;<\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">The parties may still need to establish matters such as:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Who controlled the signing credentials?<\/li>\n\n\n\n<li>How was the signer authenticated?<\/li>\n\n\n\n<li>Was the signature certificate valid?<\/li>\n\n\n\n<li>Was the document altered?<\/li>\n\n\n\n<li>When was it signed?<\/li>\n\n\n\n<li>What version was signed?<\/li>\n\n\n\n<li>Was the signer authorised?<\/li>\n\n\n\n<li>Is there an audit trail?<\/li>\n\n\n\n<li>Where is the final executed version stored?<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Good electronic-contracting systems are therefore designed not merely to obtain a signature, but to <strong>create reliable evidence of the contracting process<\/strong>.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">Why the Audit Trail Matters<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Imagine a dispute six months after a contract was signed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">One party says:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">&#8220;That is not the version we agreed to.&#8221;<\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">The other says:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">&#8220;That is the document you signed.&#8221;<\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">The issue is no longer simply the signature.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The parties may need to establish:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>What was sent \u2192 what was received \u2192 what was changed \u2192 who approved it \u2192 who signed it \u2192 when it was signed \u2192 whether it was subsequently altered \u2192 where the final record is stored.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is why businesses using electronic contracts should consider maintaining:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>version histories;<\/li>\n\n\n\n<li>signing certificates;<\/li>\n\n\n\n<li>timestamps;<\/li>\n\n\n\n<li>authentication records;<\/li>\n\n\n\n<li>email correspondence;<\/li>\n\n\n\n<li>audit logs;<\/li>\n\n\n\n<li>access records;<\/li>\n\n\n\n<li>executed copies;<\/li>\n\n\n\n<li>approval records; and<\/li>\n\n\n\n<li>secure backups.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The Evidence Act&#8217;s provisions concerning electronic records make questions of authenticity and integrity particularly relevant where electronic agreements later become the subject of litigation. <a href=\"https:\/\/new.kenyalaw.org\/akn\/ke\/act\/1963\/46\/eng%402023-12-11?utm_source=chatgpt.com\">Kenya Law<\/a><\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">What About WhatsApp Agreements?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">This is becoming an increasingly practical question for Kenyan businesses.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Businesses and individuals frequently negotiate prices, services, deliveries and other arrangements through messaging applications.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">But there is a major difference between:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>&#8220;We have discussed the deal on WhatsApp.&#8221;<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">and<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>&#8220;We have established a legally enforceable agreement.&#8221;<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The legal question remains whether the communications demonstrate the necessary elements of a contract and whether any statutory formalities have been satisfied.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">WhatsApp messages may become relevant evidence, but parties should not assume that every informal conversation constitutes a complete and enforceable contract.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For important commercial transactions, a properly drafted agreement remains preferable.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h1 class=\"wp-block-heading\">What Should an Electronic Contract Contain?<\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">An electronic contract should contain substantially the same commercial protections that would be expected in a carefully drafted paper contract.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Depending on the transaction, this may include:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">1. Identification of the parties<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Clearly identify the individuals or companies entering the agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For companies, consider including registration details and the capacity in which a representative is signing.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">2. Scope of the agreement<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Clearly state what each party is agreeing to provide or perform.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">3. Payment terms<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Specify:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>price;<\/li>\n\n\n\n<li>currency;<\/li>\n\n\n\n<li>payment dates;<\/li>\n\n\n\n<li>payment method;<\/li>\n\n\n\n<li>taxes where relevant;<\/li>\n\n\n\n<li>late-payment consequences; and<\/li>\n\n\n\n<li>applicable conditions.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">4. Electronic execution clause<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Where appropriate, state that the parties agree to electronic execution and electronic communication.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">5. Authority<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Identify who is authorised to execute the agreement on behalf of each organisation.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">6.
